How do I form a Thai company?

Thai laws require that you register a Thai limited company. If you work for your business and receive any income you will need to apply for a work permit, penalties for working and receiving income from your business without having a work permit are severe; this will result in possible detention and deportation. The upside of having a work permit is that you can apply for a 1 year non-immigrant B visa. This will allow you to purchase a car, motorbike, telephone and open a bank account in your own name or company name. 

The procedures to register a Thai limited company are;

On arrival, we can introduce you to our lawyers, International law, and they will process all the necessary papers to register your company, this will take approximately 3 weeks.

Once you have been approved with your registration, you then can apply for a 1 year non-immigrant B visa, followed by your application for a work permit. The work permit will take about 1 month to process through.

Company Formation Requirements

• A minimum of 2m baht Ltd Co for one work permit issue.
• 2 x Copies of the front page of your passport and also your visa page and all to be signed by yourself.
• 5 x Copies of house registrations and I.D. cards of your Thai shareholders.
• 3 x Company names, in your order of preference. The company names don’t need to be the same as your trading name.
• Minimum number of shareholders is 7. One foreigner, 6 Thai.

Work Permit Requirements

• Fill in the form WP2.
• 3 x photos; 5x6cm.
• Copy of front page of passport and visa, signed.
• Letter of employment.
• Copy of company registration certificate, including the objectives.
• Map of place of business.
• Medical certificate.
• Copy of shareholders list.
• Education certificate and resume of previous employment.
• Copy of VAT registration.
• Organization chart.

Requirements For Work Permit Renewal   ( Every 90 Days )

• Letter of power of attorney.
• Work permit.
• Copy of passport and visa, signed.
• Copy of company certificate.

Requirements For Work Permit Renewal   ( Annually )

• Letter of power of attorney.

• Income year end report.

Requirements For Non-Immigrant Visa

• Copy of list of shareholders.
• 2 x photos, 3.5x4.5cm
• Copy of your company certificate.
